Franchise Litigation

We represent franchisees in various industries, including hotels/motels, convenience stores, educational services, fast-casual restaurant concepts, hair salons, shipping and mail services, staffing services, in reviewing and negotiating their Area Development Agreements (ADA) and Franchise Agreements (FA).

We counsel our clients in analyzing and interpreting the Franchise Disclosure Document (FDD) and address numerous issues in the Franchise Agreement (which is typically written to protect the rights of the franchisor). There are many critical items, such as transfer restrictions/conditions, audit rights and expenses, renewals, area of protection, termination, rights and remedies regarding default(s) and liquidated damages, that must be addressed in the franchise agreement.

We also assist our clients in lease review and choice of entity formation, as these items are an integral part of the process of beginning a new business or expanding into a new market or location.
